1. Who we are and who may subscribe
Brand Rivet is a service of Focal Point Media, LLC ("Brand Rivet," "we," or "us"). These terms govern our business social-content subscription and related studio. You must be at least 18 and authorized to bind the subscribing business. Contact us at FocalPointKody@gmail.com. A subscription agreement begins when you accept these terms and successfully purchase a plan. Creating an account or trying the demo does not start a paid subscription.
2. Services and current availability
The studio supports AI-assisted ideas, captions, image concepts, brand profiles, draft calendars, feedback and saved approvals. The public demo uses sample content and simulated credits. Direct social connections, automatic publishing, live platform analytics and automatic weekly reports are still in development and are not currently provided. Do not subscribe expecting those features to be available today. Before paid onboarding, we will confirm the available service scope with you. A separate signed scope may add services; it must expressly identify any term it changes. Video generation, paid advertising spend, on-site photography/video, community management and unlimited manual revisions are excluded unless separately agreed. Scheduling a draft date or approving a draft does not itself publish it.
3. Plans and allowances
Per monthly billing period: Starter is $750 with 6 original post slots and 12 image generations; Presence is $1,000 with 10 post slots and 20 image generations; Growth Autopilot is $2,500 with 20 post slots and 40 image generations and one monthly strategy meeting, scheduled by mutual agreement. When account linking becomes available, the connection limits are up to 2, 3 and 4 respectively. Facebook and Instagram each count separately. One original post adapted across connected platforms uses one post slot; additional distinct posts use additional slots. Each new image or image retry uses one image credit. Caption edits do not use image credits. Failed image attempts release their reserved credit; contact support if an interrupted attempt remains pending. Allowances refresh at each billing-period start and do not roll over or have cash value. Discretionary support credits expire with that period and do not increase the posting allowance. Event flyers use the same generation and post allowances. Meeting availability or a missed meeting does not automatically carry into a later period; contact us to reschedule.
4. Setup fee and recurring charges
A first subscription has a $500 setup fee for initial brand configuration, onboarding and workflow setup. Wix waives this fee for returning customers with an existing or previous non-draft plan subscription on this site. At standard prices, the first payment is $1,250 for Starter, $1,500 for Presence, or $3,000 for Growth Autopilot, plus applicable taxes. Later monthly payments are $750, $1,000 or $2,500 respectively, plus applicable taxes. A specific promotion applies only as expressly shown in checkout and does not change later renewals unless stated. Your subscription automatically renews monthly until canceled; there is no minimum commitment beyond the current paid period. You authorize those disclosed recurring charges through the selected payment provider. Checkout must display the final amount, billing frequency and any discount before you authorize payment. A saved acknowledgment is not proof of payment and does not unlock the studio. Access requires a verified successful payment.
5. Cancellation, refunds and service issues
Cancel any time before the next renewal to stop future charges. Cancellation takes effect at the end of the current paid period and access continues through that period. No cancellation fee applies. We do not routinely refund an already-started monthly period solely because you did not use its allowance. Duplicate or unauthorized charges are refundable; if we fail to deliver the agreed service, contact us for correction or an appropriate refund for the undelivered portion. The setup fee is fully refundable before setup work begins; afterward we deduct only the reasonable value of setup work actually completed, up to $500, and refund the rest. Mandatory legal refund and cancellation rights always apply. Manage renewal or cancel online at /account. You can download a cancellation confirmation. For billing help, contact FocalPointKody@gmail.com using your account email and plan name; do not send card details. An account deletion request alone should not be used as a substitute for canceling billing.
5a. Upgrading your subscription
You can review higher plans in Account > Upgrade. The guided upgrade stops renewal of the old plan and sends you to Wix checkout for a new monthly subscription. The higher plan starts only after its payment is verified. It begins a new billing period at the higher plan’s full monthly price plus applicable taxes. There is no automatic prorated credit or refund for the old period. Returning customers are not charged another setup fee. You must explicitly confirm these details before the old renewal is stopped. If you leave checkout or payment fails, the old plan still ends at its recorded period end; starting checkout does not restore its renewal or activate the higher plan. Your brand profile remains saved; previous-period drafts are available in your content history. Multiple simultaneous subscriptions require billing support before a guided upgrade. Growth Autopilot is the highest standard plan; additional capacity requires a separately agreed custom scope.
6. Your information, media and approvals
You supply accurate business details, prices, event dates, offers and claims, and review output before use. You must have permission to upload and use every photo, logo, trademark, review, music track and other asset, including necessary staff, customer and minor likeness permissions. Do not upload confidential customer lists, sensitive personal data or material you cannot lawfully share with our service providers. Verify AI text and images for accuracy, rights, misleading implications and platform requirements. A generated depiction must not be passed off as documentary evidence of your actual staff, food, premises or completed work when it is not. You are responsible for final approval of your business claims and promotions; we remain responsible for our own performance and applicable legal duties. Edits invalidate the prior saved approval. Publishing will require separate account authorization and an approved version when that feature is introduced; accepting these terms is not blanket permission to publish every draft.
7. Ownership and permitted use
You keep ownership of material you supply. You give us and our necessary service providers a limited license to host, process, transform and display that material to deliver and support your service. This does not grant us permission to use your material in public advertising or our portfolio; we will request separate permission. To the extent we own transferable rights in final custom deliverables created for your paid subscription, we assign those rights to you upon payment. We retain our platform, reusable templates, tools and pre-existing materials, and license any embedded elements to you as needed to use the deliverable. Third-party assets remain subject to their own licenses. AI output may be similar to other output, may not qualify for copyright protection and is not guaranteed exclusive or free of third-party claims. Review important trademark and intellectual-property uses with your advisers.
8. AI, data and service providers
Our Privacy Notice explains account records, prompts, uploads, generated content, usage and support activity. Text requests currently use OpenAI through Wix; image requests use Runware through Wix and the configured Google image model. Provider processing and retention depend on the services and contractual settings in use. We do not promise that provider data retention is zero or that every output has exclusive rights. Do not put secrets, regulated records or information requiring special confidentiality into prompts. We will disclose material new processing or social integrations before enabling them. Social credentials must use an authorized account-connection flow; never send passwords to our team.
9. Account security and acceptable use
Keep your credentials secure and notify us of suspected compromise. Do not impersonate others, upload unlawful material, infringe rights, generate deceptive endorsements, abuse people, evade quotas or attack the service. We may restrict activity reasonably necessary to protect accounts or comply with law and will explain the restriction when lawful and practical. Suspension does not authorize charges for service we do not deliver; applicable refund rights remain. If we permanently end a paid service without your breach, we will refund its undelivered prepaid portion.
10. Results, availability and responsibility
Reach, engagement, rankings, sales and platform availability are not guaranteed. AI output and strategy suggestions require judgment and review. We will use reasonable care in delivering the agreed service; third-party outages and platform changes may affect it. These terms do not excuse our fraud, intentional misconduct, gross negligence, or liability that cannot lawfully be limited. To the extent permitted by law, neither party is liable for indirect or consequential business losses; each party’s total contractual liability is limited to fees paid or payable for the affected service during the preceding three months. This cap does not limit payment obligations, refunds owed, fraud, intentional misconduct, gross negligence, misuse of the other party’s intellectual property, or liability that law does not permit to be limited.
11. Changes, disputes and electronic records
We will give advance notice of material subscription changes, including changed prices, before they apply and explain how to cancel. A change does not retroactively alter a paid period or eliminate earned rights. Minnesota law governs, subject to mandatory protections that apply where you are located. Contact us first to try to resolve a dispute; this does not shorten any legal filing period or remove access to courts or regulators. These terms impose no mandatory arbitration or class-action waiver. You agree to receive subscription records and service notices electronically at your account email; keep it current. Marketing consent is separate. Save or print a copy of these terms and your checkout confirmation. If part of these terms is unenforceable, the remaining terms continue to the extent permitted by law.
